TERMS OF REFERENCE

I. OVERVIEW

This document sets forth the terms of reference for the Harvard Business School Online African Network  (hereinafter “HABSAN”). It outlines the duties, terms, conditions, penalties, and grounds for removal for all parties involved.

II. PURPOSE

The primary aim of HABSAN is to foster and maintain connections between alumni, promote professional networking, provide opportunities for ongoing networking and collaborations, and coordinate annual events, including the HABSAN African Night Dinner at Connext in Boston, MA.

III. PARTICIPATING PARTIES AND DUTIES

HABSAN Members: All members are expected to respect the rights and dignity of others, uphold HABSAN’s values, participate actively, and adhere to all terms outlined in this document.

HABSAN Management Committee: The committee will be responsible for setting the strategic direction, creating and implementing policies, and overseeing the daily operations of the Community. Duties include approving membership applications, managing conflicts, and maintaining the online platform.

Events Director: The Events Director will plan, organise, and coordinate all HABSAN events, including the annual African Night Get-Together at Connext in Boston, MA.

IV. TERMS AND CONDITIONS

HABSAN members agree to abide by the following:

  • Respectful Conduct: Members shall behave respectfully, courteously, and professionally. Personal attacks, harassment, or discrimination will not be tolerated.
  • Non-Disclosure of Confidential Information: Members shall not disclose confidential or proprietary information shared within HABSAN.
  • No Promotion of Self-Interest: Members shall not use HABSAN for self-promotion, advertising, or commercial solicitation.
  • Contribution to HABSAN: Members are encouraged to contribute to discussions, share opportunities, and support fellow members.

V. PENALTIES AND GROUNDS FOR REMOVAL

Violating the terms and conditions will result in penalties ranging from warnings to permanent removal from HABSAN at the discretion of HABSAN Committee. Grounds for removal include but are not limited to:

  • Repeated disrespectful or disruptive behaviour
  • Breach of confidentiality
  • Misrepresentation or fraudulent behaviour
  • Non-compliance with the Committee’s decisions
  • Failure to rectify behaviour after receiving a warning

VI. GOVERNANCE

HABSAN will be managed by a committee comprised of a Chairman, Secretary, Treasurer, Events Director, and other positions as deemed necessary. The Committee will meet twice annually to discuss matters of importance and make decisions by a majority vote.

VII. EVENTS

The HABSAN Annual African Dinner will take place at Connext in Boston, MA, and will be coordinated by the Events Director. Members are encouraged to participate and contribute ideas to make the event successful.

VIII. CHANGES TO TERMS OF REFERENCE

HABSAN Governance Committee reserves the right to amend these Terms of Reference as necessary. All changes will be communicated to HABSAN members promptly.

Participating in the Virtual Harvard Business School Online African Network indicates your acceptance of these Terms of Reference. Violations may result in sanctions, including removal from HABSAN.
